Intellectual Property Rights

All intellectual property rights, including but not limited to copyrights, trademarks, patents, and trade secrets, in the services and/or products provided by Infomate LLC are owned by Infomate LLC.

  • The user agrees not to copy, modify, distribute, or create derivative works of the services and/or products provided by Infomate LLC, except as expressly authorized by Infomate LLC.
  • The user agrees to indemnify and hold Infomate LLC. harmless from any claims, losses, damages, or expenses arising from the user's breach of this section.

Termination Clauses

  • Infomate LLC. may terminate this agreement at any time, for any reason, upon notice to the user.
  • The user may terminate this agreement at any time, for any reason, by providing written notice to Infomate LLC.
  • Upon termination of this agreement, the user will immediately cease all use of the services and/or products provided by Infomate LLC.

Governing Law Clause

This agreement will be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws provisions.

DMCA Notice Clause

Infomate LLC. respects the intellectual property rights of others. If you believe that your work has been copied in a way that constitutes copyright infringement, please provide Infomate LLC. with the following information:

  • A description of the copyrighted work that you claim has been infringed.
  • A description of the location on Infomate LLC's website where the allegedly infringing material is located.
  • Your contact information, including your name, address, and telephone number.
  • A statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law.
  • A statement by you, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on behalf of the copyright owner.

Limitation of Liability

Infomate LLC will not be liable to the user for any indirect, incidental, consequential, or punitive damages, including but not limited to lost profits, lost data, or damage to computer systems, arising out of or in connection with this agreement.

Enforceability Clause

If any provision of this agreement is held to be invalid or unenforceable, such provision will be struck from this agreement and the remaining provisions will remain in full force and effect.

Arbitration Clause

Any disputes arising out of or in connection with this agreement will be resolved by binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration will be held in the State of New York, and the decision of the arbitrator will be final and binding on the parties.

Confidentiality Clause

The user agrees to keep all confidential information of Infomate LLC confidential. This includes, but is not limited to, trade secrets, customer lists, and financial information. The user may not disclose confidential information to any third party without the prior written consent of Infomate LLC.
